These Terms of Service (“Terms”) govern your access to and use of the Perfix website, applications, software, and related services (collectively, the “Service”). These Terms form a binding agreement between you and Perfix (“Perfix”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use Perfix
You may use the Service only if:
- you can form a legally binding contract with us
- you are authorised to act on behalf of yourself or the business or organisation using the Service
- you comply with these Terms and all applicable laws
If you use Perfix on behalf of a company, agency, or other organisation, you represent that you have authority to bind that entity to these Terms.
2. The Service
Perfix is a software platform for performance marketing teams, agencies, and related users. Depending on the features enabled in your account, Perfix may allow you to:
- create workspaces and invite team members
- connect third-party services such as Google Ads and Google Search Console
- upload SEO and related marketing data
- generate reports, analysis, recommendations, and dashboards
- run tracked optimisation tests and monitor results
- review and apply certain user-initiated actions to connected advertising accounts
- use AI-assisted features such as recommendation rationales or content generation
Perfix may add, remove, or modify features from time to time.
3. Account registration and workspace responsibility
You may need an account to use some or all of the Service.
You agree to:
- provide accurate and complete information
- keep your login credentials confidential
- promptly update your information if it changes
- notify us promptly of any unauthorised access or suspected security issue
You are responsible for all activity that occurs under your account and within your workspace, except to the extent caused by our own breach of these Terms or applicable law.
Workspace owners and administrators are responsible for:
- managing user access and permissions
- ensuring that users in their workspace are authorised
- reviewing actions taken through the Service
- maintaining appropriate internal approval processes
4. Connected accounts and third-party services
Perfix may allow you to connect third-party services, including Google Ads and Google Search Console.
By connecting a third-party service, you:
- authorise Perfix to access and process the data you permit through that connection
- represent that you are authorised to connect that account or property
- understand that your use of third-party services remains subject to the relevant third-party terms and policies
Perfix is not responsible for:
- the availability of third-party services
- changes to third-party APIs, permissions, policies, or functionality
- data loss, delay, or inaccuracy caused by third-party services
Use of Google-connected features is also subject to Google's applicable terms and policies, including the Google APIs Terms of Service, the Google API Services User Data Policy, and Google's OAuth 2.0 policies.
5. User data, uploads, and content
You may upload files, import data, create notes, and otherwise submit content to the Service (“User Content”).
You retain ownership of your User Content. You grant Perfix a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, display, and otherwise use User Content only as necessary to:
- operate and provide the Service
- maintain security and reliability
- support requested features
- troubleshoot and improve the Service
- comply with legal obligations
- enforce these Terms
You are responsible for ensuring that:
- you have all rights, permissions, and lawful bases needed for the User Content you submit
- your uploads and connected data do not violate any law, contract, confidentiality obligation, or third-party right
- your use of the Service complies with any client, employer, or partner obligations
6. Privacy and Google user data
Our collection, use, storage, and disclosure of personal data and Google user data is described in our Privacy Policy. Your use of the Service is also subject to that Privacy Policy.
Where Perfix accesses Google user data, Perfix will do so only as described in our Privacy Policy and related in-product disclosures. Google requires apps using Google API Services to provide clear privacy disclosures and to limit use of Google user data to disclosed and permitted purposes. Google also expects those disclosures to appear in context where appropriate, not only in a privacy policy.
7. Acceptable use
You agree not to, and not to allow others to:
- use the Service in violation of any law, regulation, or third-party right
- upload malicious code, malware, or harmful content
- interfere with or disrupt the Service or its infrastructure
- attempt to gain unauthorised access to accounts, data, or systems
- scrape, copy, reverse engineer, or exploit the Service except as allowed by law
- use the Service to build a competing product using unauthorised extraction or misuse
- use the Service to deceive, defraud, harass, or cause harm
- submit content that infringes intellectual property, privacy, confidentiality, or publicity rights
- use Google-connected data in ways not permitted by Google's policies or by the permissions granted by the user
- use outputs from the Service as the sole basis for legal, financial, employment, credit, or similarly high-risk decisions
8. AI-assisted features and human review
Perfix may provide AI-assisted outputs, including recommendations, rationales, summaries, classifications, or suggested actions.
You understand and agree that:
- AI-generated outputs may be incomplete, inaccurate, or unsuitable for your specific use case
- AI outputs are provided for support and efficiency, not as guaranteed facts or professional advice
- you are responsible for reviewing outputs before relying on them or applying actions in connected platforms
- Perfix may use third-party AI providers to generate user-facing outputs as part of the Service
Perfix does not guarantee that AI-assisted outputs will be correct, complete, or fit for any particular purpose.
9. User-initiated actions and account changes
Some features may allow you to validate, preview, or apply actions in connected accounts, including advertising accounts.
You remain solely responsible for:
- deciding whether to apply any recommendation or action
- reviewing previews, validations, or proposed changes
- ensuring the action is appropriate for your business, client, or campaign
- monitoring the results of those actions
Perfix may provide tracked workflows, dashboards, and recommendations, but you remain responsible for final decision-making and account oversight.
10. Fees and payment
Unless otherwise agreed in writing, the Service is currently provided without paid subscription fees. We may introduce paid plans, usage limits, or premium features in the future. If we do, we will provide notice and updated billing terms before charging you.
11. Beta features
We may label certain features as beta, preview, early access, test, or similar.
Beta features:
- may be incomplete
- may change at any time
- may contain bugs or errors
- may be subject to additional limits
- may be withdrawn without notice
Unless otherwise stated, beta features are provided “as is”.
12. Intellectual property
Perfix and its licensors own all right, title, and interest in and to the Service, including:
- software, code, and interfaces
- design and branding
- documentation and workflows
- databases
- reports, templates, and materials we create, excluding your User Content
These Terms do not transfer any ownership rights to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
13. Feedback
If you provide suggestions, ideas, or feedback about Perfix, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, and incorporate that feedback without restriction or compensation to you.
14. Suspension and termination
We may suspend or terminate your access to all or part of the Service if:
- you breach these Terms
- your use poses a security risk
- your use could harm us, the Service, other users, or third parties
- we are required to do so by law or third-party platform requirements
- your connected third-party access is revoked or restricted
- you fail to pay fees, if applicable
You may stop using the Service at any time.
Upon termination:
- your rights to use the Service end
- we may deactivate or delete your account and related data subject to our retention obligations and Privacy Policy
- certain sections of these Terms will continue to apply, including ownership, disclaimers, limitations of liability, indemnity, and other sections that by nature should survive
15. Disclaimers
The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
Perfix disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of:
- merchantability
- fitness for a particular purpose
- non-infringement
- quiet enjoyment
- availability and accuracy
- uninterrupted operation
We do not warrant that:
- the Service will always be available, secure, or error-free
- any analysis, recommendation, metric, or AI-generated output will be accurate or complete
- any action taken through or based on the Service will improve campaign performance or business outcomes
- third-party integrations will remain available or unchanged
16. Limitation of liability
To the maximum extent permitted by law:
- Perfix will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages
- Perfix will not be liable for loss of profits, revenue, goodwill, use, data, business opportunity, or anticipated savings
- Perfix will not be liable for losses resulting from third-party platforms, API changes, account suspensions, user error, or decisions made by you or your users
To the maximum extent permitted by law, Perfix's total aggregate liability arising out of or relating to the Service or these Terms will not exceed:
- the total amount paid by you to Perfix for the Service in the 12 months immediately before the event giving rise to the claim, or
- £100, if you have not paid any fees to Perfix
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
17. Indemnity
You agree to indemnify, defend, and hold harmless Perfix and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Service
- your User Content
- your breach of these Terms
- your violation of applicable law
- your violation of any third-party right
- your use of connected third-party accounts without proper authority
18. Changes to the Service or Terms
We may modify the Service or these Terms from time to time.
If we make material changes to these Terms, we will post the updated version and update the “Last updated” date. If required by law, we will provide additional notice.
By continuing to use the Service after the updated Terms take effect, you agree to the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of England and Wales, excluding conflict of law principles.
The courts of East Riding of Yorkshire Council will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.
